A company that operates ships can have various legal entities. The choice of a legal entity depends on tax, legal and practical aspects. The most frequent legal entity is the limited partnership: the managing partner manages the company, and the limited or sleeping partners invest the capital. The managing partner is jointly and severally liable for the debts of the company. The liability of the limited partners does not exceed the amount of their investment. The taxable profit is usually fixed on the basis of the net tonnage of the ship. As a result, the tax burden can be favourable in comparison with the profit actually realized.
Vlootmaatschap
The "Vlootmaatschap" is a relatively new partnership for the operation of sea-going vessels: the managing partner manages the company, and the limited or sleeping partners invest the capital.
